Terms of Service

These terms apply between you and Kaloyan Stefanov, bul. Ruski 82, 6000, Stara Zagora, Bulgaria (“we”), for the use of BOM Manager (the “service”). By creating an account you accept them. Provisions marked as applying to consumers apply only if you use the service mainly for purposes outside your trade, business or profession.

1. The service

BOM Manager is a web application for managing bills of materials for electronics projects: projects and boards, a component library, distributor search and prices, stock and orders. Features and limits depend on the plan of each workspace, as shown on our pricing page and in the app.

Search results, stock levels, prices and datasheets come from third-party distributors. We pass them on as received and can't guarantee that they are correct, complete or current. Always check them with the distributor before ordering.

2. Accounts and workspaces

You must be at least 16 years old and provide a valid email address. Keep your sign-in details secret and tell us at kokmarok@gmail.com if you suspect misuse. You are responsible for activity under your account.

Content is organised in workspaces. The owner of a workspace and its admins decide who has access and with which role, and are responsible for the content and for the people they invite. Ownership can be transferred to another member.

3. Plans, prices and payment

The Free plan is free of charge with the limits shown on the pricing page. Paid plans (Premium, Ultimate) are subscriptions per workspace, billed monthly or yearly in advance. The price shown at checkout, including any applicable VAT, applies.

Payments are processed by Stripe. A subscription renews automatically for the same period until it is cancelled. Admins of the workspace can change or cancel the plan at any time in the workspace settings; a cancellation takes effect at the end of the paid period. Upgrades take effect immediately and are charged pro rata.

If a payment fails, we may move the workspace back to the Free plan after a reasonable grace period. Nothing is deleted when a workspace returns to Free, but you can't add more than the Free plan allows.

We may change prices for future billing periods. We will tell workspace admins at least 30 days in advance; you can cancel before the change takes effect.

4. Beta and lifetime Premium

The service is in beta until the date shown in the app. During the beta, features can change and errors are more likely.

Every account created during the beta receives Premium for one workspace it owns for as long as the service is offered (“lifetime Premium”), free of charge. It covers one workspace at a time; if that workspace is deleted, the next new workspace you create gets it. It cannot be transferred to another person: when ownership of the workspace passes to someone else, the workspace loses the grant. Plan limits of Premium apply (e.g. the number of members).

5. Right of withdrawal for consumers

If you are a consumer in the EU, you can withdraw from a paid subscription within 14 days of concluding it without giving a reason. To do so, send us a clear statement (for example by email to kokmarok@gmail.com). It is enough to send it before the 14 days have passed.

We refund all payments received from you without undue delay and no later than 14 days after receiving your withdrawal, using the same means of payment. If you asked for the service to start during the withdrawal period, which is the case when you use a paid plan right after checkout, you pay a proportionate amount for the time until you withdrew.

6. Distributor API keys

To search distributors, a workspace connects its own API credentials. You must have the right to use them and must comply with the distributor's terms. We use them only for the requests you make in the app. Usage limits and costs of the distributor's API are your responsibility.

7. Acceptable use

You must not misuse the service, in particular: break the law or third-party rights, upload malware, try to access other workspaces or our systems without permission, put excessive load on the service or distributor APIs (for example by automated scraping), or resell the service without our consent. We may suspend accounts that seriously or repeatedly break these rules, after a warning where reasonable.

8. Your content

Content you add remains yours. You give us the right to store, process and display it only as needed to provide the service to you and your team. You can export BOMs and orders as CSV at any time. We process personal data as described in our Privacy Policy.

9. Availability and changes

We aim for high availability but can't guarantee uninterrupted access; maintenance, failures of third-party services (hosting, sign-in, payments, distributor APIs) and events outside our control can cause interruptions. We may develop the service further. We won't remove essential features of a paid plan during a paid period to your disadvantage.

10. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law and where we have given a guarantee.

For slight negligence we are only liable for breach of essential contractual obligations (obligations whose fulfilment makes proper performance of the contract possible at all and on which you may regularly rely), limited to the damage typical and foreseeable at the time the contract was concluded. Otherwise, liability for slight negligence is excluded.

For the Free plan and the beta, which are provided free of charge, we are liable only for intent and gross negligence, except where mandatory law provides otherwise.

You are responsible for checking parts, quantities and prices before ordering and for keeping your own backups of important data.

11. Term and termination

You can delete your account at any time under “Manage account”. Deleting an account or workspace ends the corresponding subscription; already-paid periods are not refunded except as described in section 5 or required by law. We can end free use with 30 days' notice and terminate for good cause at any time.

12. Changes to these terms

We may change these terms for valid reasons (for example new features or changes in the law). We will notify you by email at least 30 days in advance. If you don't object before the change takes effect, the new terms apply; we will point this out in the notice. If you object, either side may end the contract when the change takes effect.

13. Final provisions

The law of Bulgaria applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the country where you live.

We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.

If a provision of these terms is invalid, the rest remains in effect.
